1. Agreement to Terms

By accessing and using the Miredia website (miredia.com), you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Services

Miredia provides digital marketing services, website design and development, and AI automation solutions. The specific scope of work, deliverables, timeline, and pricing will be outlined in a separate service agreement or proposal for each project.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Use License

Permission is granted to temporarily access the materials on Miredia's website for personal, non-commercial viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• ▹Attempt to reverse engineer any software contained on Miredia's website

4. Intellectual Property

All content, features, and functionality on the Miredia website, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Miredia and are protected by copyright, trademark, and other intellectual property laws.

For client projects, ownership and intellectual property rights will be specified in the service agreement. Generally, upon full payment, clients receive ownership of final deliverables created specifically for their project.

5. Payment Terms

Payment terms will be specified in individual service agreements. Standard terms include:

• ▹Invoices are due within the timeframe specified in the agreement
• ▹Late payments may be subject to interest charges or suspension of services
• ▹Refund policies vary by service and will be outlined in the service agreement

6. Client Responsibilities

Clients are responsible for:

• ▹Providing timely feedback and necessary materials for project completion
• ▹Ensuring all content provided is legally owned or properly licensed
• ▹Reviewing and approving deliverables within specified timeframes
• ▹Maintaining access credentials and security for platforms we manage on their behalf

7. Warranties and Disclaimers

While we strive to provide the highest quality services, the materials and services on Miredia's website are provided "as is." Miredia makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

We do not guarantee specific results from our marketing services, as results depend on many factors outside our control.

8. Limitation of Liability

In no event shall Miredia or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Miredia's website or services, even if Miredia or a Miredia authorized representative has been notified orally or in writing of the possibility of such damage.

9. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of the business relationship. This includes but is not limited to business strategies, technical data, customer information, and proprietary methodologies.

10. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. Miredia reserves the right to terminate services immediately for non-payment or breach of terms.
